I use KeePass for a number of reasons. I was using it on my desktop PC before I got a Pocket PC, and found that there is a version for that too (or it may be by a different author as the whole thing is open source-based). It is well thought out and it is freeware.
There are a lot of freeware options as well as shareware but only some of them have both versions (a desktop version is useful as it means that you can maintain/add to your store on either the Pocker PC or the desktop.
The only down side that I can find is the fact that the synchronisation between both machines has to be done manually, ie, you have to manually transfer the KeePass encrytped database. As a result you really need to have one master and then work with that primarily (I keep the Pocket PC updated and transfer it to the desktop regularly).
The reason for the 'issue' is that, I believe, the Pocket PC component of this software is relatively new. Hopefully, in the fullness of time, the author will add synchronisation functionality.

An alternative is CryptoCard, that I have seen on Freewareppc.com, try this link:

but it requires the installation of the .NET Compact Framework. It also has a desktop component that I believe has synchronisation facilities.
