Are you syncing via the cradle or a hotsync cable ?. Sometimes if the cable is also charging, the connection is not sucessfull until the X5 is fully charged and the top light is green.
I've had this problem myself before now. Remove Activesync completely from your PC and also do a hard reset on your X5 ( Power, scroll-in, contacts and reset combination), or remove both batteries for approx 1 hour.
Reinstall Activesync 4.1 and you should be able to sync.
The TCP/IP problem is not a setting that you can alter. In 4.0 and above, TCP/IP is treated differently and sometimes a PDA connection can conflict with the settings and be seen as a network connection which is then disabled and priority give to exisiting connections.
If your problem exists, try disabling your other Network connections ( WiFi and cable) and try again.
Also have you checked to see what COMM port the axim is now using ??. It may be that during the upgrade the comm port number changed. In AS3.8, it needed to be below Nr 13, but 4.0 or above removes this restriction
